TERMS AND CONDITIONS

This User Agreement ("Agreement") is entered into
by and between Hawk-Eye Consulting and Technologies LLC DBA EZ Convert ("EZ Convert," "we," "us," or "our") and you, the user ("User," "you," or "your"). By using our platform and services, you agree to the terms and conditions set forth in this Agreement.

1. Service Description

EZ Convert provides a lead generation and conversational AI platform to help businesses generate leads, qualify leads, and book appointments through automated interactions. The platform includes a CRM, analytics dashboard, and multi-channel communication tools.

2. Subscription Model

The service is offered on a subscription basis, billed monthly or annually. Free trials with limited features may be available to new users at our discretion.

3. Usage Fees

In addition to subscription fees, you are responsible for any usage fees incurred while using our platform, including but not limited to:

  • SMS messaging

  • Phone system

  • Phone number

  • A2P registration and subscription

  • Emailing

  • AI usage

  • Premium workflow actions

These fees are billed automatically, and rates for these third-party services may vary. EZ Convert reserves the right to adjust usage fees with prior notice.

4. User Responsibilities

Users must provide accurate and up-to-date information during onboarding and throughout their use of the platform. Users are prohibited from using the platform to send spam or engage in activities that violate applicable laws or regulations. Users are solely responsible for ensuring that all uploaded leads have provided consent to be contacted. EZ Convert will not be held liable for any damages resulting from non-compliance with applicable laws.

5. Payment Terms

Payments are due at the beginning of each billing cycle. Users must maintain a valid payment method on file to avoid service interruptions. Failed payments will result in a 7-day grace period before suspension of services.

6. Refund Policy

30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee on subscription fees and setup fees for new clients. If you are not satisfied with our service within the first 30 days of your subscription, you may request a refund of your subscription fee and setup fee by submitting a support ticket from within the desktop application within the 30-day period. Refunds will be processed in a timely manner.

Non-Refundable Fees

The following fees are non-refundable under any circumstances, including but not limited to:

  • Third-Party Fees: This includes fees charged by third-party service providers, such as phone system fees, SMS messaging fees, A2P registration fees, and emailing fees.

  • Usage-Based Fees: This includes costs related to premium workflow action fees and AI-related fees.

  • Additional Service Fees: Any additional fees or charges incurred as part of third-party service integrations.

Refunds are only applicable to the subscription fees and setup fees directly charged by EZ Convert. No refunds will be issued for fees paid to third-party vendors or partners, regardless of usage, performance, or service availability.

Requesting a Refund

To request a refund under our 30-day money-back guarantee, you must submit your request via a support ticket within the first 30 calendar days from the start of your subscription. Requests received after the 30-day period will not be eligible for a refund.

Exclusions and Limitations

This refund policy applies exclusively to first-time clients. Renewals, reactivations, and upgrades are not eligible for the 30-day money-back guarantee. Refunds will not be issued for cancellations occurring after the 30-day period.

7. Free Trials

The Company may, at its sole discretion, offer free trials of the Service for a limited period of time. Billing information may be required to initiate the trial. If not canceled before the trial period ends, the user will automatically be charged for the applicable subscription. The Company reserves the right to modify or cancel free trial offers without prior notice.

8. Promotions

Promotions, including contests or special offers, may be governed by separate terms. If there is a conflict between these Terms and the promotion-specific terms, the latter shall apply.

9. Support and Maintenance

Standard support is available through our ticketing system. We aim to respond to all inquiries within 24 hours during business days.

10. Feedback

By submitting feedback, suggestions, or ideas regarding the Service ("Feedback"), you agree to assign all rights to the Company. If this assignment is ineffective, you grant the Company a perpetual, irrevocable, worldwide, royalty-free license to use the Feedback without
restriction.

11. Intellectual Property

EZ Convert retains ownership of all software and platform content. Users retain ownership of their uploaded lead data and customer interactions. The Service and its original content, excluding user-provided data, are protected by copyright, trademark, and other laws.

12. Portfolio and Reuse Rights

EZ Convert reserves the right to feature your project, build, or results in our portfolio, marketing materials, or case studies. We may reuse non-proprietary aspects of the data, system, and build architecture for other clients, excluding any proprietary or identifiable information specific to your business. By using our platform, you grant EZ Convert the right to leverage anonymized and aggregated data for the purposes of showcasing our capabilities and improving our services.

13. Limitation of Liability

Under no circumstances will EZ Convert be responsible or liable to you for any indirect, punitive, incidental, special, consequential, or exemplary damages resulting from your use or inability to use the EZ Convert or for the unavailability of the EZ Convert, or for lost profits, personal injury, or property damage, or for any other damages arising out of, in connection with, or relating to these Terms of Use or your use of the EZ Convert, even if such damages are foreseeable, and whether or not you or EZ Convert has been advised of the possibility of such damages. EZ Convert is not liable, and denies responsibility for, any damages, harm, or losses to you arising from or relating to hacking, tampering, or other unauthorized access or use of the EZ Convert or your failure to use or implement anti-fraud measures, security controls, or any other data security measure. EZ Convert further denies responsibility for all liability and damages to you or others caused by (a) your access or use of the EZ Convert inconsistent with our instructions; (b) any unauthorized access of servers, infrastructure, or data used in connection with the EZ Convert; (c) any bugs, viruses, or other harmful code that may be transmitted to or through the EZ Convert; (d) any errors, inaccuracies, omissions, or losses in or to any data provided to us; (e) third-party content provided by you; or (f) the defamatory, offensive, or illegal conduct of others.

14. "AS IS" Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind. The Company disclaims all implied warranties, including merchantability and fitness for a particular purpose.

15. Termination

The Company may terminate your account for any reason, including violation of these Terms. Upon termination, your right to use the Service will cease immediately.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Texas, United States. Any disputes will be resolved through binding arbitration in the state of Texas. Users must attempt informal resolution before arbitration.

17. Changes to Terms

The Company reserves the right to amend these Terms with 30 days' notice for material changes. Continued use of the Service after changes constitutes acceptance of the revised Terms.
